CCBall Conduit Terms
By joining or participating in CCBall Conduit, you agree to the following terms.
-
About Conduit
CCBall Conduit is a referral and partner programme that allows participating individuals and organisations, including fighters, coaches and gyms, to introduce customers to CCBall and receive rewards or commission on qualifying activity where applicable.
Participation does not make a Conduit member an employee, agent, franchisee, distributor or legal representative of CCBall. Members cannot enter agreements, make guarantees or assume obligations on behalf of CCBall.
-
Your Conduit identity
CCBall may provide you with a personal referral identity, link, QR code, referral code or other attribution method. These are intended to help CCBall identify customers introduced through you.
They must not be transferred, sold or deliberately used to attribute another person's promotional activity to you without CCBall's permission.
-
How referrals are attributed
A customer may be attributed to a Conduit member through methods including a tracked link, QR code, referral code or customer identification of the person, coach, fighter, gym or organisation that introduced them to CCBall.
Where several members claim the same transaction, attribution is not guaranteed. CCBall may determine attribution using the information reasonably available to it, including customer information and its own records.
A customer's selection or nomination does not by itself guarantee that a transaction qualifies for a reward.
-
Qualifying sales and rewards
The reward, commission, credit or other benefit available to you is determined by the specific Conduit offer applicable to your participation.
Clicks, views, conversations, introductions or referrals alone do not create a payment entitlement unless the applicable offer expressly says otherwise.
A transaction may cease to qualify where it is cancelled, refunded, charged back, fraudulent, duplicated or otherwise fails to satisfy the applicable offer conditions.
CCBall may withhold or reverse the associated reward where this happens.
-
No guaranteed earnings
Participation in Conduit does not guarantee customers, sales, referrals, commissions or any particular level of income. -
Self-referrals and manipulation
CCBall may reject transactions or rewards involving artificial, fraudulent or manipulated attribution.
This can include creating false customers, duplicate accounts, misleading customer attribution, deliberately circumventing referral rules or coordinating transactions primarily to obtain rewards rather than make genuine purchases.
Any permitted treatment of a member's own purchases or purchases by people connected to them will be determined by the applicable Conduit offer.
-
Promoting CCBall
CCBall provides visual and promotional assets that members can use to introduce the product.
Members may, where appropriate:
- share supplied CCBall material online;
- recommend CCBall by word of mouth;
- demonstrate CCBall;
- display CCBall posters, QR materials or other supplied assets where they have permission to do so; and
- direct people to their Conduit link or other attribution route.
Members remain responsible for where and how they distribute promotional material.
-
Accuracy and brand representation
Members must not make false, misleading or unsubstantiated statements about CCBall, including statements about product performance, safety, results, pricing, availability or earnings.
Members must not imply that they are employed by CCBall or are authorised to speak or contract on behalf of CCBall unless CCBall has expressly given them that authority.
CCBall branding, product imagery and supplied promotional material must not be materially altered in a way that misrepresents CCBall, the product or an applicable offer.
-
Advertising and commercial disclosure
Where a member may receive commission, rewards, free products or another incentive in connection with promotional content, the commercial relationship must be disclosed clearly where required.
Current CMA guidance treats commissions and other incentives as payment and says incentivised social-media promotion should be clearly identifiable as advertising. Businesses also have responsibilities regarding promotional content produced on their behalf. GOV.UK
Members must therefore comply with applicable advertising and consumer-protection requirements when promoting CCBall.
-
Permission for physical promotion
Members are responsible for obtaining permission before displaying posters, QR codes or other promotional materials on premises, noticeboards, events or other property they do not control.
CCBall does not authorise members to place promotional materials on third-party property without permission.
-
Use of CCBall intellectual property
While participating in Conduit, CCBall gives the member a limited, non-exclusive, revocable permission to use CCBall-provided brand assets solely for legitimate promotion of CCBall.
Ownership of CCBall names, logos, artwork, photographs, videos and other intellectual property remains with CCBall or its relevant owner.
Members must not register domains, social-media identities, business names or other identifiers that falsely suggest ownership of or official status within CCBall.
Permission to use CCBall assets may be withdrawn when participation ends or where CCBall reasonably requests removal.
-
Customer information and privacy
A Conduit member should not collect unnecessary customer personal information on CCBall's behalf.
Where referral technologies use cookies or other storage/access technologies, CCBall will handle them in accordance with its applicable privacy and cookie arrangements. Current ICO guidance requires organisations to assess tracking technologies under PECR and UK data-protection requirements; technologies that are not covered by an exemption may require appropriate consent. ICO
CCBall may limit the customer information visible to members. Referral reporting does not give a member a general right to obtain a customer's personal information.
-
Suspension or termination
CCBall may suspend or terminate participation, referral attribution or access to Conduit where it reasonably believes there has been fraud, manipulation, misleading promotion, abuse of CCBall intellectual property, unlawful activity, repeated non-compliance or a material breach of these terms.
CCBall may also require promotional material to be corrected or removed.
Termination does not automatically remove legitimately earned rewards that became payable before termination, except where those rewards arose from activity that was invalid, fraudulent or otherwise ineligible.
-
Changes to Conduit
CCBall may change Conduit, including future eligibility requirements, promotional methods, attribution systems and reward offers.
Changes to future offers do not retrospectively change a reward that has already been validly earned under an earlier offer, unless correction is required because the transaction was subsequently cancelled, refunded, charged back, fraudulent or otherwise ineligible.
-
Taxes
Conduit members are responsible for determining and meeting any tax, accounting or reporting obligations arising from payments or benefits they receive through Conduit. -
Liability
Members are responsible for their own promotional activity and for complying with applicable laws and permissions.
Nothing in these terms excludes or limits liability where doing so would be unlawful.
I would have the detailed limitation-of-liability/indemnity wording reviewed professionally rather than putting aggressive boilerplate into this section.
-
Applicable rules
These terms operate alongside the conditions of any individual Conduit offer presented to a member. If a particular offer has additional eligibility or reward conditions, those conditions apply to that offer. -
Governing law
Assuming CCBall is contracting through your UK business, this should eventually specify the appropriate governing law and courts. I would fill this in once we confirm the legal entity/business structure rather than guessing it.
This is now enough to form the substantive basis of the Conduit agreement. The main things I would not finalise yet are the indemnity/liability language, governing-law clause, payout schedule and tax/payment mechanics. Those depend on how you actually establish CCBall and how money will flow through Conduit.
The promotion rules can then become a much shorter companion page derived from clauses 7–10 rather than another large legal document.
